01 Acceptance of these Terms
By accessing or using the Services you confirm that you have read, understood, and agree to
be bound by these Terms and by our Privacy Policy, which is
incorporated here by reference. If you are using the Services on behalf of an organization,
you represent that you have authority to bind that organization, and “you” refers
to both you and that organization. If you do not agree with these Terms, do not use the
Services.
Some products publish additional or product-specific terms. Where those apply, they
supplement these Terms and, to the extent of a direct conflict, govern your use of that
product.
02 The Services
Essarion builds AI products, including: ResearchAnything (AI research
workspace), Sourcipedia (a cited, self-evolving knowledge base),
Agents (a platform for autonomous agent runs), Essarion
Build (a developer SDK and CLI coding agent), and our Platform API.
We may add, change, remove, or discontinue features, models, and products over time, and
some capabilities are experimental and may change or be withdrawn without notice.
03 Eligibility & accounts
You must be at least 16 years old (or the age of digital consent in your jurisdiction, if
higher) to use the Services. Some products are invite-based or may enable, disable, or limit
new registrations at any time.
Where a product offers accounts, you are responsible for keeping your credentials
confidential and for all activity under your account. Provide accurate information, keep it
current, and notify us promptly at hello@essarion.com
if you suspect unauthorized use. We store passwords only as salted bcrypt hashes and never
in plain text.
04 AI-generated content — accuracy disclaimer
Our Services rely on artificial intelligence, including large language models and
automated retrieval, ranking, and summarization. AI systems can and do produce output that
is inaccurate, incomplete, outdated, biased, or entirely fabricated
(“hallucinated”) — including invented facts, misattributed or
non-existent quotes, citations that do not support the claim they are attached to, and code
that is insecure or does not work.
Reports, summaries, evaluations, scores, extracted quotes, generated code, agent actions,
and chat responses are generated or assisted by AI and are provided for informational
purposes only. They are not professional advice of any kind — legal,
medical, financial, tax, safety, or otherwise — and must not be relied on as the sole
basis for any decision.
You are responsible for independently reviewing and verifying anything important before you
rely on it, share it, execute it, or deploy it. When our Services act autonomously (for
example, running code, editing files, or operating a browser or connected account on your
behalf), you are responsible for the scope and consequences of the actions you authorize.
05 Acceptable use
You agree not to use the Services to:
- break any law or regulation, or infringe anyone’s rights, including
intellectual-property, privacy, or publicity rights;
- generate or distribute content that is unlawful, defamatory, harassing, hateful, or that
facilitates harm;
- produce misinformation, plagiarism, or academic dishonesty, or present AI-generated
output as independently verified fact;
- attempt to reverse-engineer, scrape, overload, disrupt, or bypass rate limits, access
controls, or security of the Services;
- use automated means to access the Services outside of interfaces we provide, or resell or
redistribute the Services without our written permission;
- upload malware, or submit content or credentials you do not have the right to submit; or
- violate the terms, robots directives, or rate limits of any third-party source, provider,
or connected account the Services access on your behalf.
We may investigate suspected violations and suspend or terminate access for conduct we
reasonably believe breaks these Terms or harms the Services, other users, or third parties.
06 Your content & outputs
“Your Content” means the queries, prompts, files, documents, and other material
you submit. You retain ownership of Your Content. You grant us a non-exclusive, worldwide
license to host, process, transmit, and display Your Content solely to operate, secure, and
improve the Services and to provide them back to you — for example, sending your input
to AI models and providers and storing your work.
Subject to these Terms and the rights of third parties in any retrieved or referenced
material, the outputs generated for you (“Outputs”) are yours to use. Because AI
can produce similar results for different users, Outputs may not be unique, and we make no
representation that Outputs are original or non-infringing. You are responsible for how you
use Outputs, including any attribution required by cited sources or applicable licenses.
07 Third-party services & sources
The Services depend on third parties, including AI model providers, web-search providers,
academic databases, browser-automation providers, identity and integration providers, and
cloud hosting and storage. Your use of the Services and the content they retrieve is also
subject to those third parties’ terms. We are not responsible for third-party services
or for the content, accuracy, or availability of external sources, and links or citations to
external sites are not endorsements. See the Privacy Policy for how
data is shared with these providers.
08 Plans, fees & billing
Some products offer free and paid plans that differ in features and usage limits, and some
usage is metered. Prices and limits shown in a product may change; we will make reasonable
efforts to communicate material changes. Where paid subscriptions are offered, fees are
billed in advance and, except where required by law, are non-refundable. You are responsible
for any taxes. If a payment fails or a subscription lapses, we may suspend paid features or
downgrade your account.
09 Intellectual property
The Services themselves — including their software, design, branding, and the
“Essarion,” “ResearchAnything,” “Sourcipedia,”
“Agents,” and related names and logos — are owned by us or our licensors
and protected by intellectual-property laws. Except for components we make available under an
open-source license (Section 10), these Terms grant you a limited, non-exclusive,
non-transferable, revocable license to use the Services for their intended purpose. No rights
are granted except as expressly stated here.
10 Open-source components
Certain Essarion products — including the Essarion Build SDK and CLI — are
distributed as open-source software under their own licenses (for example, the Apache License
2.0). Your use of those components is governed by the applicable open-source license
accompanying them, which controls over these Terms to the extent of any conflict for that
component. Open-source components are provided “as is” without warranty, as stated
in their licenses.
11 Suspension & termination
You may stop using the Services and delete your account at any time. We may suspend or
terminate your access, with or without notice, if you breach these Terms, if required by law,
or if necessary to protect the Services or others. On termination, your right to use the
Services ends; sections that by their nature should survive (including disclaimers,
limitations of liability, and indemnification) will survive. We handle data after account
closure as described in the Privacy Policy.
12 Disclaimer of warranties
To the fullest extent permitted by law, the Services and all Outputs are provided
“as is” and “as available,” without warranties of any kind, whether
express, implied, or statutory, including implied warranties of merchantability, fitness for
a particular purpose, non-infringement, and any warranty regarding accuracy, reliability,
completeness, or availability. We do not warrant that the Services will be uninterrupted or
error-free, that defects will be corrected, or that any Output is accurate, current, or fit
for your purpose.
13 Limitation of liability
To the fullest extent permitted by law, we and our affiliates and suppliers will not be
liable for any indirect, incidental, special, consequential, exemplary, or punitive damages,
or for any loss of profits, data, goodwill, or other intangible losses, arising out of or
relating to your use of (or inability to use) the Services or any reliance on Outputs, even
if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or
relating to the Services or these Terms will not exceed the greater of the amounts you paid
us for the Service giving rise to the claim in the twelve months before the event, or
USD 100. Some jurisdictions do not allow certain limitations, so some of these
limitations may not apply to you.
14 Indemnification
You agree to indemnify and hold harmless Essarion and our officers, employees, and agents
from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising
out of your use of the Services, Your Content, your Outputs, or your breach of these Terms or
of any law or third-party right.
15 Governing law & general terms
These Terms are governed by the laws applicable at our principal place of business, without
regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts
located there, except where mandatory local law provides otherwise. If any provision is held
unenforceable, the rest remains in effect. Our failure to enforce a provision is not a
waiver. These Terms, together with the Privacy Policy and any product-specific terms, are the
entire agreement between you and us regarding the Services. You may not assign these Terms
without our consent; we may assign them in connection with a merger, acquisition, or sale of
assets.
